Tiny Tush Referral Program Service Agreement

PLEASE READ THIS AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

JOINING THE AFFILIATE PROGRAM

By filling out the signup form you acknowledge that you have read the terms and conditions, understand, and agree with them. Upon acceptance, you will become an affiliate and are bound by the terms of this agreement. Your participation in the program is solely for this purpose: to legally promote our website to receive a commission on products purchased by your referred individuals.  You must be at least 18 years old. 

AFFILIATE RESPONSIBILITIES

It is understood that you will introduce Tiny Tush products and services to your current and prospective customers and will comply with all laws as well those that govern email marketing and anti-spam laws. Tiny Tush, L.L.C. reserves the right to accept or reject any prospective customers and will pay you a commission per customer referred using your affiliate code according to the designated payment schedule.

Disclosing your affiliate status is required in accordance with FTC (http://www.ftc.gov/) advertising regulations to disclose the affiliate relationship with Tiny Tush, L.L.C. You will need to comply with all laws and make any other necessary disclosures or disclaimers as required by law. 

It is entirely your responsibility and you will be solely responsible to follow all applicable intellectual property and other laws that pertain to your site. You must have express permission to use any person's copyrighted material, whether it is writing, an image, or any other copyrightable work. 

Either you or Tiny Tush, L.L.C. may end this Agreement AT ANY TIME, with or without cause, by giving the other party written notice. Written notice can be in the form of mail, email or fax. In addition, this Agreement will terminate immediately upon any breach of this Agreement by you.

Tiny Tush, L.L.C. may change the program or service policies and operating procedures at any time. All affiliate partners are required to maintain a valid email account in their profile and to accept inclusion in the Mail Chimp email list associated with this program.

AFFILIATE RESTRICTIONS

You acknowledge and agree that your Social Media and Email Invitations shall not, and you shall not:
1.	Engage in (a) sending unsolicited commercial email ("spam") or (b) indiscriminate advertising;
2.	Fail to comply with the CAN-SPAM Act of 2003 (Public Law 108-187) or other applicable laws regulating commercial email;
3.	Collect personal information about Visitors without their prior written consent;
4.	Contain pornographic or obscene content, tasteless images, or excessively violent or hate-related material, as determined by Tiny Tush LLC in its sole and absolute discretion;
5.	Encourage the use of a controlled substance;
6.	Encourage unlawful behavior;
7.	Display, promote or sell illegal content, or offer any illegal product or service;
8.	Violate any applicable law;
9.	Contain any false, inaccurate, misleading, defamatory, slanderous or libelous content or statements;
10.	Advocate, promote, or encourage violence or discrimination against any person, organization, or governmental entity;
11.	Contain links to web sites containing the serial numbers for unlocking software illegally, pyramid schemes, or impersonations of another person or organization; or
12.	Contain links to web sites containing any of the aforementioned content.

AFFILIATE RELATIONSHIPS

You agree that you are an independent contractor, and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Tiny Tush, L.L.C. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or any other of your site or otherwise, that reasonably would contradict anything in this section. Affiliates who are paid over $500 per calendar year in cash or products will be required to submit tax id information.

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Wisconsin without regard to the conflicts of laws and principles thereof.

REVOCATION OF AFFILIATE STATUS

Your affiliate application and status in the program may be suspended or terminated for any reason specially the following but not limited to: 
•	Inappropriate/ false advertisements 
•	Illegal spamming 
•	Advertising on adult content sites as well as sites containing/promoting illegal activities
•	Violation of intellectual property rights

This Agreement represents the entire agreement between Tiny Tush, L.L.C and you, and shall supersede all prior agreements and communications of the parties, oral or written.

If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this agreement shall have full force and effect.
Indemnification

You hereby agree to indemnify and hold harmless Tiny Tush, L.L.C. and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us. 
Affiliate Links

You may use graphic and text links both on your website and in emails. The site may also be advertised "offline" in classified ads, magazines, and newspapers. You must use the graphics provided to you by us, you may not create your own.
Affiliate Tracking

The tracking of the affiliate sales is automatically performed by the use of cookies. The cookies are placed in the browser of the person that has clicked on the affiliate link and has thus reached the Tiny Tush’s website. The cookie is stored for 90 days. If there is a previous affiliate cookie in the same browser it is overwritten by the newer one. Tiny Tush, L.L.C. bears no responsibility if the customer has deleted their browser cookies on purpose. When a web surfer clicks through your affiliate link, a cookie is set in their browser that contains your affiliate user id. Also, their IP address is tracked in the database.
Terms of the agreement

These terms will begin upon your signup with the affiliate program and will end when your affiliate account is terminated. The terms of this agreement may be modified by Tiny Tush, L.L.C at any time. If any modification to the terms is unacceptable to you, your only choice is to terminate your affiliate account. Your continuing participation in the program will constitute your acceptance of any change. 
Liability

We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of "intents of harm" to the program or our website. We do not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this site. We make no claim that the operation of the affiliate program and our website will be error-free and we will not be liable for any interruptions or errors.
